Business Law
A business decision becomes a legal issue when ownership, authority, obligations, or risk is unclear. The right documents should reflect how the business actually operates and what its owners intend—not simply fill a file.
Law Guardian, APC advises entrepreneurs, closely held companies, and established businesses on formation, agreements, and organizational change. We translate commercial objectives into practical legal terms and identify issues that deserve attention before commitments are made.

Advice aligned with the business decision
We start with the transaction or decision: who is involved, what the business needs to accomplish, and where uncertainty could create a problem. We review the existing structure and documents before proposing changes.
For an agreement, that may mean clarifying scope, payment, decision-making authority, ownership, or exit terms. For an ownership change, it may mean coordinating approvals with the governing documents. Entity selection also involves tax and liability considerations; where appropriate, the legal work should be coordinated with the business’s tax adviser.
What to prepare
Bring formation documents, governing agreements, ownership records, recent written approvals, and the contracts relevant to the decision. Include amendments and side agreements, not just the most recent signature page.
A short summary of the proposed change is useful: what you want to accomplish, who must agree, and whether a transaction or response date is approaching. Identify the intended client at the outset so the representation can be properly defined.
Common questions
Is filing an entity enough to complete the legal setup?
Not necessarily. Formation filings are one part of the process. Governance, ownership arrangements, contracts, and applicable operating requirements also deserve attention. The appropriate documents depend on the entity and the business.
Can you review an agreement before I sign?
Yes. We review commercial agreements within the scope of our business practice, focusing on the obligations, business risks, and terms that matter to the proposed relationship.
Can existing ownership documents be updated?
Often, but the required approvals and permitted changes depend on the documents and applicable law. Review should come before assuming that an informal understanding has changed everyone’s legal rights.
What if a business disagreement has already become a dispute?
We can evaluate whether negotiation, a revised agreement, or a contested process is appropriate. Our Contract Disputes and Civil Litigation practices address related disputes.
